Introduction – Statement on the application of corporate governance principles

Pursuant to § 72(7)(5)(a) and (b) of the Regulation of the Minister of Finance of 6 June 2025 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state3 (hereinafter the Regulation of the Minister of Finance of 6 June 2025), Bank Polska Kasa Opieki Spółka Akcyjna (hereinafter the “Bank”) declares that it adheres to the corporate governance principles listed below, which include principles adopted voluntarily and practices in the area of corporate governance that go beyond the requirements specified by national law.4

The corporate governance principles applied by the Bank, i.e., the system of regulations and procedures defining guidelines for the actions of the Bank’s bodies, including towards external entities interested in its activities (stakeholders), are based on generally applicable legal provisions, particularly the Commercial Companies Code and the Banking Law Act, as well as regulations governing the capital market, and the principles outlined in the following documents: Best Practice for WSE Listed Companies 2021, the Corporate Governance Principles for Supervised Institutions issued by the Financial Supervision Authority (KNF) on 22 July 2014 and the Code of Banking Ethics of the Polish Bank Association.
